Lattice Academic Program – Terms and conditions

1. Purpose of the Program

The Lattice Academic Program (the “Program”) is designed to support universities, research institutions and academic laboratories conducting research and educational activities in fields such as biomaterials science, tissue engineering, regenerative medicine and medical additive manufacturing.

The Program provides eligible participants with access to selected benefits offered by Lattice Services, subject to these Terms & Conditions and any additional conditions applicable to specific benefits.

2. Eligibility and Admission

Participation in the Program is subject to an application and approval process.

Lattice Services reserves the right, at its sole discretion, to determine whether an applicant, institution, laboratory or research project is eligible to participate in the Program. Lattice Services may accept or reject an application and may request additional information or documentation to assess eligibility.

Eligibility may depend on factors including, but not limited to:

• the nature and status of the applicant or institution;
• the purpose and scope of the research or educational activities;
• the intended use of Lattice Services products;
• the non-commercial nature of the activities at the time of application and purchase; and
• Lattice Services’ ability to provide the requested products or services.

Approval to participate in the Program does not constitute a commitment by Lattice Services to support any specific project, supply any specific product or provide any particular service.

3. Academic and Research Use

Program benefits are intended to support academic research and educational activities and are provided on the basis of the participant’s declared intended use at the time of application and purchase.

Products purchased or services provided through the Program must not be resold or used for commercial production while benefiting from the Academic Program conditions.

The Program does not prevent participants from subsequently developing, protecting, licensing, transferring or commercializing intellectual property, research results, technologies or applications arising from their research.

If a project subsequently evolves into a commercial activity, the participant must inform Lattice Services. Future purchases or services relating to the commercial activity will no longer be eligible for Academic Program benefits and may be subject to Lattice Services’ standard commercial terms.

4. Program Benefits

Depending on eligibility and availability, Program benefits may include:

• preferential pricing on selected Lattice Services products;
• access to selected beta or new-material testing opportunities;
• technical support from Lattice Services’ R&D team;
• access to selected testing or printing services under preferential conditions; and
• other benefits that may be introduced by Lattice Services from time to time.

The benefits available to a participant may vary depending on the project, institution, products required and applicable conditions.

Lattice Services does not guarantee the availability of any specific product, material, service, testing opportunity or Program benefit.

5. Academic Pricing and Orders

Any preferential pricing offered through the Program applies only to eligible academic and research activities and is subject to product availability and Lattice Services’ production capacity.

Lattice Services may apply minimum order quantities, purchase commitments or other conditions to certain Program benefits.

Program discounts cannot be combined with discounts granted under the Lattice Services loyalty program or any other promotional offer. Where multiple discounts may apply to the same order, only the highest applicable discount will be applied. Discounts cannot be combined unless expressly agreed otherwise by Lattice Services.

All orders remain subject to Lattice Services’ applicable standard sales terms and conditions.

6. Lattice Research Spotlight

As part of the Lattice Academic Program, Lattice Services may select and showcase outstanding academic research projects through the Lattice Research Spotlight initiative.

Lattice Services may select one research project per material category for publication as a dedicated case study on its website or through other communication channels.

Selection is made at Lattice Services’ sole discretion, based on criteria determined internally by Lattice Services. Lattice Services reserves the right not to select any project for a given material category.

Selected research teams will be invited to collaborate with Lattice Services to prepare a case study presenting their research project, including its objectives, methodology, results and insights into the use of Lattice Services materials.

Publication of a case study is subject to the prior approval of the research team concerned. Participants remain responsible for ensuring that any information shared with Lattice Services may be disclosed and does not infringe any confidentiality, intellectual property or publication obligations.

6.1. Research Spotlight Discount

Once a case study has been finalized and approved for publication by both the research team and Lattice Services, the selected research team will receive an exclusive 15% discount on all products available through the Lattice Services online store (services & custom products excluded).

The discount will be valid for 12 months from the date of approval of the case study for publication.

The discount:

• Applies to all eligible purchases (see conditions above) by the selected research team during the validity period;
• Cannot be transferred to another research team, institution or third party;
• Cannot be combined with any other discount, including discounts granted under the Lattice Services loyalty program;
• Cannot be exchanged for cash or any other benefit;
• Is subject to product availability and Lattice Services’ standard sales terms and conditions.

Where multiple discounts may apply to the same order, only the highest applicable discount will be applied.

The Research Spotlight Discount does not apply retroactively to orders placed before the case study approval date.

7. Beta Materials and Research Testing

Access to beta materials, new-material testing and research support is subject to availability and Lattice Services’ internal development priorities.

Participants may be asked to provide technical feedback, test results or other information relating to their use of beta or development materials.

Beta or development materials are provided for research and evaluation purposes and may not be commercially available, validated for a specific application or suitable for clinical use.

Any specific material development, testing, printing or technical support activity may be subject to additional conditions agreed between the participant and Lattice Services.

8. Participant Responsibilities

Participants are responsible for ensuring that:

• all information provided to Lattice Services during the application process is accurate and up to date;
• products are used in accordance with the applicable product documentation, technical data and instructions;
• the use of products complies with applicable laws, regulations and institutional requirements in the contry of the applicant;
• products obtained through the Program are not resold or otherwise distributed for commercial purposes while benefiting from Program conditions;
• any change in the intended use or commercial status of the project is communicated to Lattice Services.

Participants remain solely responsible for the regulatory, design, development, testing and use of their research projects and applications.

9. Intellectual Property

Participation in the Program does not transfer any intellectual property rights between the participant and Lattice Services.

Each party retains ownership of its pre-existing intellectual property, know-how, data, materials and other proprietary information.

Unless otherwise agreed in writing, participants retain ownership of their own research results and intellectual property generated independently through their research activities.

Any specific collaboration involving joint development, confidential information, intellectual property, material transfer or technology transfer may be subject to separate written agreements.

10. Research Publications and Communications

Participation in the Program does not automatically grant Lattice Services the right to use the participant’s name, institution name, research project, results, images or other information for external communication or marketing purposes.

Lattice Services may invite participants to contribute to research-related communications, case studies or other content. Any such communication will be subject to the participant’s prior agreement and any applicable confidentiality or publication requirements.

Participants remain free to publish their research results, subject to any separate contractual obligations applicable to their project.

11. No Clinical or Regulatory Representation

Participation in the Program and access to Lattice Services products, materials or technical support do not constitute an endorsement, certification, regulatory approval or guarantee of suitability for any specific clinical or commercial application.

Participants are responsible for determining the suitability of the products and materials for their intended research or development activities and for complying with all applicable regulatory, ethical and institutional requirements.

12. Program Changes and Termination

Lattice Services reserves the right to modify, suspend or discontinue the Program, in whole or in part, at any time.

Lattice Services may also suspend or terminate a participant’s participation in the Program if:

• the participant no longer meets the eligibility requirements;
• the participant breaches these Terms & Conditions;
• Program benefits are used for unauthorized commercial purposes;
• information provided by the participant is materially inaccurate or misleading; or
• the participant otherwise misuses the Program or its benefits.

Termination of participation does not affect orders already accepted by Lattice Services, unless otherwise required by applicable law or agreed between the parties.

13. Changes to Participant Status

Participants must inform Lattice Services of any material change affecting their eligibility, including a change in institution, project purpose or commercial status.

Where a research project transitions from academic research to commercial development, Lattice Services may review the participant’s status and determine which Program benefits, if any, remain applicable.

Commercial activities may be supported by Lattice Services under separate commercial terms, including through its material supply, development, manufacturing or CDMO services.

14. Acceptance of the Terms

By submitting an application to the Lattice Academic Program or using any Program benefit, the applicant acknowledges that they have read and agree to these Terms & Conditions.

Lattice Services reserves the right to update these Terms & Conditions from time to time. The latest version will be made available through the Lattice Services website.
