Article 1 : APPLICATION OF THE GENERAL CONDITIONS OF SALE
The present general conditions of sale apply to all orders placed on the www.lattice-services.com website. The website www.lattice-services.com is published by the company LATTICE MEDICAL, parent company of the subsidiary LATTICE SERVICES. The Seller is defined below as LATTICE MEDICAL, SAS with a share capital of 25,941 euros, whose registered office is located at 80 rue du Docteur Yersin, registered with the Lille Trade and Companies Register (R.C.S. Lille 832 698 153). The Customer is understood to be the one with whom the buy-sell relationship is established and who is invoiced for the order. Any placing of order on the Site www.lattice-services.com supposes the knowledge of the present General Conditions of Sale as well as the agreement of the Customer on the completeness of their contents. LATTICE MEDICAL reserves the right to adapt or modify the present General Terms and Conditions of Sale at any time. In this case, only the General Terms and Conditions of Sale in force at the time the order is taken will then be applicable.
Article 2 – ORDERS:
2.1 Orders can only be placed on the www.lattice-services.com website.
2.2 French and English are the only languages offered for the conclusion of the sales contract.
2.3 The availability of the products is displayed on the Site www.lattice-services.com.
2.4 Any quotation proposed to the customer by LATTICE SERVICES, a subsidiary of LATTICE MEDICAL and will remain valid for one month from the date of issue.
2.5 The characteristics of the products are indicated on each product page. Photographs as well as descriptive elements of the products do not enter into the contractual field, if these elements contain errors, LATTICE MEDICAL cannot be held liable in any case. LATTICE MEDICAL can at any time update and modify the product characteristics as well as the withdrawal of the products from the market.
2.6 In case of unavailability of a product, LATTICE MEDICAL will contact the customer as soon as possible. The latter will then be informed of the deadlines for the availability of the product. If the Customer does not wish to wait for this availability or if the product is definitively unavailable and if the order has been paid, LATTICE MEDICAL undertakes to reimburse the Customer within 30 days following the date of payment by the Customer.
2.7 The order placed on www.lattice-services.com may be automatically cancelled in the absence of receipt of payment. This cancellation period is extended to 5 working days in case of payment by bank transfer. LATTICE MEDICAL reserves the right not to validate your order for any legitimate reason, in particular in the event that it would not be in conformity with the present General Conditions of Sale or in the event that several serious and concordant elements would make weigh a suspicion of fraud on your order.
2.9 Except for the application of article 6, the customer may cancel his order as long as it is not transmitted to the logistics services. Transmission to the logistics services corresponds to the sending of the email specifying that the order has been dispatched. When the order is prepared, the cancellation can only be made by refusal of the Customer during the presentation of the package. Concerning professionals, no unilateral cancellation of order on their part will be accepted without the prior agreement of LATTICE MEDICAL.
2.10 The information communicated by the Customer when placing the order (in particular name and delivery address) is binding on the Customer. Thus, the responsibility of LATTICE MEDICAL and its subsidiary LATTICE SERVICES shall in no way be engaged in the event that an error when placing the order would cause a delay or an impediment to delivery.
ARTICLE 3 – PRICES
3.1 All prices of products and services offered for sale on the site www.lattice-services.com are expressed in euros, all taxes included, excluding shipping costs. They are likely to vary in the event of a change in the rate of VAT.
3.2 LATTICE MEDICAL reserves the right to modify its prices at any time but undertakes to apply the prices in force at the time of the order registration subject to the availability of the products at that date.
3.3 The ordered products remain the property of LATTICE MEDICAL until full and complete collection of the price. However, from the reception of the order by the Customer or his representative, the risks of the delivered goods are transferred to the Customer.
3.4 The amount of the delivery costs is calculated automatically according to each order, it appears in particular on the summary of your order, before its final registration.
3.5 The price of the “extrusion” and “3D printing” services is based on an estimate. It varies according to the project, the materials used, the number of hours of engineering and the labor required.
ARTICLE 4 – DELIVERY AND TRANSPORT:
4.1 Delivery is made by direct delivery to the Customer.
4.2 Delivery times correspond to those mentioned on the order confirmed by the Customer. They are indicated for deliveries in Metropolitan France.
4.3 Delivery is made to the address you indicated when placing the order. LATTICE SERVICES, a subsidiary of LATTICE MEDICAL, undertakes to deliver within the deadlines mentioned on the quotation, and this as from the day following the day we received your payment (unless otherwise indicated on the detailed page of the product). These delivery times correspond to the preparation of the order and its routing.
4.4 If the time indicated is exceeded by more than 7 days, except in cases of force majeure, the Customer may cancel his order and be reimbursed. The Customer must then send us a registered letter with acknowledgement of receipt within 15 working days from the scheduled delivery date. In the event that the order has not yet been shipped upon receipt of the Customer’s cancellation notice, the delivery will then be blocked and the Customer will be reimbursed for any amounts debited within 15 days following receipt of the cancellation notice. In the event that the cancellation notice has been sent, the Customer will always have the right to cancel the order by refusing the package. In this case, LATTICE MEDICAL will refund the products within 15 days following its receipt of the return of the refused package, complete and in its original condition.
4.5 In the case of provision of the order to the Customer by our carriers, if the order is not claimed by the Customer within the time limits, it will be returned to LATTICE MEDICAL, the return and forwarding costs being borne by the Customer. This return will cause the cancellation of the contract and the reimbursement of the sums paid by the Customer less the return costs, or the return of the package(s) following the payment of the shipping costs by the Customer.
4.6 LATTICE MEDICAL disclaims any liability in case of late delivery in two main cases: the delay is related to a case of force majeure (L114-1 Consumer Code; art 15 LCEN), the delay is attributable to the buyer (art 15 LCEN).
4.7 LATTICE MEDICAL reserves the right to choose the carrier. If for any reason the carrier is chosen exclusively by the Customer, (apart from the choices that LATTICE SERVICES, a subsidiary of LATTICE MEDICAL offers), LATTICE MEDICAL is in no way responsible for any failure of the carrier.
ARTICLE 5 – COMPLIANCE:
5.1 The Customer is obliged to check the conformity of the delivered goods before signing any delivery document. In the event of an anomaly, the Customer must indicate his reservations, followed by his signature, directly on the delivery document. In the event of a serious anomaly (damaged, open packaging, missing or damaged products…), the Customer must refuse the package and specify on the delivery document the reasons for refusing to accept the package. This verification is considered to be carried out from the moment the Customer, or any person authorized to receive the package on his behalf, has signed the delivery document.
5.2 In the event of failure to formulate reservations at the time of delivery, and if the Customer finds that the equipment is damaged, the Customer must express his reservations to LATTICE MEDICAL, by registered mail with acknowledgement of receipt, within 3 working days following receipt of his order. Any complaint formulated outside this time limit will not be accepted, in accordance with the GTC of the carriers.
5.3 LATTICE MEDICAL undertakes to reimburse or exchange the products that do not conform to the Customer’s order. The Customer must then send his request in writing via the contact form on the website www.lattice-services.com or by registered mail with acknowledgement of receipt to LATTICE MEDICAL within 15 days following the delivery date. This complaint relating to the non-conformity of a product with respect to its order must be accompanied by the Customer’s choice between reimbursement or exchange. Any complaint formulated outside this time limit will not be accepted. Any request for exchange by the Customer must comply with the procedure defined in Article 6.
5.4 In the cases referred to in this article 5, the return of products will only be accepted for products returned complete, in their original condition (original packaging, instructions, accessories…). In these same cases, the return costs will be reimbursed by LATTICE MEDICAL.
ARTICLE 6 – RIGHT OF RETRACTION:
6.1 The Customer has a legal period of 14 days from receipt of his order to return any item that does not suit him. In order to set up this return, the Customer must contact LATTICE MEDICAL via the contact form. As provided for by law, the right of retraction applies only to items returned not unpacked for consumables.
6.2 In accordance with the provisions in force, LATTICE MEDICAL will not accept the return of consumables when they have been unsealed by the Customer. The consumables correspond to 3D filaments, visors sold, custom filament extrusion, prototypes and pre-series on www.lattice-services.com.
ARTICLE 7 – PAYMENT
7.1 Orders are payable in cash within 30 days of the issue of the invoice. Payments are made by bank transfer only.
7.2 In order to limit frauds, LATTICE MEDICAL reserves the right to accept the sale to ask the Customer to prove his identity and his domicile. In this case, the processing of the order will be carried out as from the reception of these documents. LATTICE MEDICAL reserves the right to cancel the order in the absence of receipt of these documents or receipt of documents deemed to be non-compliant.
ARTICLE 8 – GUARANTEE:
8.1 The products sold on the site www.lattice-services.com all benefit from the application of the legal guarantee of hidden defects of articles 1641 and following of the Civil Code, and the legal guarantee of conformity in accordance with the provisions of article L. 217-4 and following of the Consumer Code.
The Customer may exercise these guarantees by sending his request to : LATTICE MEDICAL, 80 rue du Docteur Yersin 59120 LOOS or via the Site’s contact form.
When the individual (non-professional) Customer acts as a legal guarantee of conformity, he :
– Will benefit from a delay of two years as from the delivery of the good to act;
– Will be able to choose between repairing or replacing the good subject to the cost conditions provided for by article L. 217-9 of the Consumer Code ;
– Will not be required to provide proof of the existence of the lack of conformity of the goods during the 24 months following the delivery of the goods, except for second-hand goods where the time limit is set at six months.
The guarantee of conformity will apply independently of the commercial guarantee granted.
The Customer may also decide to implement the guarantee against hidden defects of the item sold within the meaning of Article 1641 of the Civil Code and, in this case, he may choose between cancellation of the sale or a reduction of the sale price in accordance with Article 1644 of the Civil Code.
8.2 For Professional Customers, the above warranties of latent defect and conformity are reduced to one year from the date of delivery of the product.
ARTICLE 9 – INTELLECTUAL PROPERTIES:
All texts, images, photographs, logos and textual or graphic creations reproduced and integrated on the Site www.lattice-services.com are protected under intellectual property and copyright law. In accordance with the provisions of the intellectual property code, only private use is authorized. Any total or partial reproduction of the Site www.lattice-services.com is strictly prohibited.
ARTICLE 10 – RESPONSABILITIES
10.1 The photographs on the product sheets are not contractual. The Customer must check the technical characteristics of the products before proceeding with his order as described in the product sheet.
10.2 LATTICE MEDICAL cannot be held responsible in case of error between the characteristics of the product, its illustration and its conditions of sale.
10.3 The total or partial impossibility to use products due to incompatibility of materials shall not give rise to any compensation whatsoever or reimbursement or to the liability of LATTICE MEDICAL being called into question. It is the Customer’s responsibility to ensure the compatibility of the equipment he orders.
10.4 Concerning the purchase on a professional basis on the Site www.lattice-services.com, it is reminded that LATTICE MEDICAL is released from any responsibility concerning any damage which could occur following the purchase of products for a professional use. LATTICE MEDICAL could not be held responsible for any operating loss suffered by a professional following the use of the products or a delay in delivery.
10.5 LATTICE MEDICAL also disclaims any liability for the use or abnormal use that could be made of the products purchased on the www.lattice-services.com Site. Thus, LATTICE MEDICAL shall not be held liable in case of 3D printing whose use could be contrary to the law or to the usual and normally expected practice for the said product.
ARTICLE 11 – PERSONAL AND COMPUTER DATA
The information collected when ordering on the site www.lattice-services.com is recorded in a computerized file for the purposes of tracking orders for products, their processing, delivery and the application of legal and commercial guarantees.
They are kept for 5 years and are intended to ensure the application of the guarantee conditions as well as after-sales technical services.
In accordance with the law “informatique et libertés”, you can exercise your right of access to the data concerning you and have them rectified by contacting our services.
ARTICLE 12 – AMICABLE SETTLEMENT OF CONFLICTS
According to article L. 612-1 of the Consumer Code “Any consumer has the right to have recourse free of charge to a consumer mediator for the amicable termination of a dispute between him and a professional. »
Disputes falling within the scope of Article L. 612-1 of the French Consumer Code are the disputes defined in Article L. 611-1 of the French Consumer Code, i.e. disputes of a contractual nature, relating to the performance of a contract of sale or supply of services, between a consumer and a professional. ARTICLE 13 – APPLICABLE LAW AND JURISDICTION
The present general conditions of sale will be governed by French law.
